Article 1 — Purpose
These Terms and Conditions of Sale define the rights and obligations of the parties in connection with the sale of services offered by Toussaint Digital LLC (the “Provider”), commercial brand Autom7, Limited Liability Company registered in Wyoming, United States, located at 30 N Gould St Ste R, Sheridan, WY 82801, United States. Email: contact@autom7.com. Founder: Geoffroy Toussaint. Any order for services implies full acceptance of these Terms and Conditions of Sale by the client, whether professional or consumer.
Article 2 — Services offered
Autom7 offers services for companies and professionals wishing to improve their activity through automation and digital systems: automation audits, design and integration of automation systems, high-performance WordPress websites, SEO, AI integrations, AI assistants, voice agents, chatbots, maintenance, optimization, digital training and strategic support. The precise scope, deliverables and terms of each service are defined in the quote accepted by both parties.
Article 3 — Quotes and orders
Each service is subject to a detailed quote prepared by the Provider. The quote states the nature of the service, scope, deliverables, price, payment schedule and estimated delivery times. The order becomes firm only after written acceptance of the quote and payment of the required deposit where applicable. Any change requested after validation may lead to an additional quote.
Article 4 — Prices and payment terms
Prices are indicated in euros unless otherwise stated. Unless specified in the quote, payment may be organized as follows for larger projects: 30% upon order, 40% upon intermediate delivery and 30% upon final delivery. Other payment schedules may be agreed in the quote. In case of late payment, the Provider may suspend work and apply late-payment penalties or recovery costs in accordance with applicable law.
Article 5 — Delivery times
Estimated delivery times depend on the nature of the project, the client’s responsiveness and the complexity of the integrations. Indicative ranges may include 2 to 4 weeks for standard website projects, 3 to 6 weeks for training or documentation systems, and 4 to 8 weeks or more for complex automation projects. Delivery times are indicative unless expressly stated otherwise in the accepted quote.
Article 6 — Provider obligations
The Provider undertakes to carry out the services with care, professionalism and reasonable diligence. The Provider has an obligation of means, not an obligation of result, especially for performance indicators depending on third-party platforms, search engines, advertising platforms, client actions or market conditions.
Article 7 — Client obligations
The Client undertakes to provide the information, access, content, feedback and validation required for the proper execution of the services. Delays in providing these elements may postpone delivery times. The Client remains responsible for the accuracy of the information supplied and for legal compliance of the content they provide.
Article 8 — Validation and delivery
Deliverables are submitted to the Client for review. The Client must communicate any comments or requested corrections within the timeframe stated in the quote or, failing that, within a reasonable period. In the absence of feedback, the deliverables may be considered accepted. Minor corrections are included where specified; substantial changes may be subject to additional billing.
Article 9 — Right of withdrawal
Where a right of withdrawal applies to a consumer client, it is exercised in accordance with applicable law. However, the Client acknowledges that services may begin before the end of any withdrawal period with their agreement, and that personalized digital services or work already performed may be excluded from withdrawal or charged proportionally according to applicable law.
Article 10 — Intellectual property
Elements specifically created and paid for by the Client may be transferred to the Client within the limits defined in the quote. The Provider retains ownership of methods, templates, reusable components, know-how, automation patterns, internal tools, generic code libraries and pre-existing elements. Unless otherwise stated, the Provider may mention the project as a reference.
Article 11 — Confidentiality
Each party undertakes to keep confidential all non-public information received from the other party during the project. This obligation does not apply to information already public, lawfully obtained from a third party or required to be disclosed by law.
Article 12 — Liability
The Provider is liable only for direct damages proven to result from a fault attributable to the Provider. The Provider is not liable for indirect damages, loss of turnover, loss of opportunity, loss of data caused by the Client or third parties, third-party platform outages, search-engine changes, advertising-account decisions or tools outside the Provider’s control.
Article 13 — Force majeure
Neither party shall be liable for non-performance or delay caused by an event of force majeure or circumstances beyond reasonable control, including outages, cyberattacks, natural disasters, war, administrative restrictions, strikes or third-party service failures.
Article 14 — Termination
In case of serious breach by one party, the other party may terminate the contract after formal notice remaining without effect for a reasonable period. Work already performed remains due. Specific termination terms may be stated in the quote.
Article 15 — Governing law and jurisdiction
These Terms and Conditions of Sale are governed by the law applicable to Toussaint Digital LLC and, where mandatory consumer or local protective rules apply, by such mandatory provisions. In case of dispute, the parties will first seek an amicable solution before any legal action.
Article 16 — Severability
If any provision of these Terms and Conditions of Sale is held invalid or unenforceable, the remaining provisions remain in force.
